Frequently asked questions

The requirements to form a private limited company (identified through the words ‘Sendirian Berhad’ or ‘Sdn. Bhd.’ appearing together with the company’s name) are:

  1. A minimum of one subscriber to the shares of the company
  2. A minimum of one local director

The minimum share capital required to set up a private limited company is RM1.00 (Ringgit Malaysia One).

Based on the KL Team’s past experiences dealing with SSM, the entire incorporation process will take approximately seven working days from the date that relevant documentation signed by the BOD and Shareholders. Please note that the incorporation timeline is very dependent on the accuracy and completeness of information and documents and also subject to the availability & stability of SSM’s MyCoID online system.

Yes, provided the sole director is residing in Malaysia.

Incorporation is proceeded via SSM’s online MyCOID system and it requires that the incorporation fees are paid beforehand. Meanwhile, our firm needs to make payment to SSM before we start works and therefore the terms for services is payment upon confirmation of engagement.

To be a director you must be :

  1. Malaysian (if not, you must have a residential address in Malaysia.
  2. Not disqualified under the companies Act 2016.

You may operate your business at any other address which would then constitute as your business address. However, your business address is not necessarily the same as the registered address. A registered office address is where all your company’s documents, as ordered by the Companies Act 2016, need to be kept. We provide our registered office address as a service.

After your company has been setup, you can start your business activities immediately. However, we believe that you may need further assistance (Eg. Administrative Support, Financing Support, Payroll Support etc) to run your business. In this case, our firm also provides such services to our clients (additional service will be charged separately).
